Loadee Terms of Use

Last Updated: July 7, 2026

1. Acceptance of Terms

These Terms of Use (‘Terms’) govern your access to and use of the Loadee platform, websites, mobile applications, APIs, software, integrations, AI-powered functionality, and related services (collectively, the ‘Service’). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and references to ‘you’ include that organization.

2. Eligibility

The Service is intended primarily for commercial and business use. You must be legally capable of entering into contracts and comply with all applicable laws.

3. The Service

Loadee provides software that assists freight industry participants through workflow automation, automated pricing recommendations, notifications, email creation, and related functionality. Loadee is software only and is not a transportation service.

4. Territory

The Service may not be available in every jurisdiction. Loadee may limit or discontinue availability by country, region, customer segment, or feature at any time.

5. Export Controls

You agree not to use the Service in violation of applicable export control or sanctions laws.

6. Accounts

You are responsible for account security, credentials, and all activity under your account. Business accounts belong to the business rather than individual employees.

7. Acceptable Use

You shall not misuse the Service, interfere with security, reverse engineer, scrape, upload malware, abuse APIs, infringe rights, violate law, or use the Service to facilitate fraud or unlawful activity.

8. User Content

You retain ownership of your submitted content. You grant Loadee a worldwide, non-exclusive, royalty-free license to host, process, reproduce, transmit, display, and use your content solely to operate, secure, improve, and provide the Service.

9. Loads data

Data about the loads may be inaccurate, incomplete, delayed, duplicated, or unavailable. Users remain responsible for independently verifying all information.

10. Automated Features

Automatically generated recommendations, classifications, pricing estimates, summaries, and other outputs are informational only and may contain errors, omissions, inconsistencies, or outdated information. Users remain solely responsible for all business decisions.

11. Freight Disclaimer

Loadee is not a freight broker, motor carrier, dispatcher, freight forwarder, logistics provider, shipper, or transportation intermediary. Loadee does not verify counterparties, guarantee loads, rates, payments, shipment details, or legal compliance and is not a party to agreements between users.

12. Notifications

Delivery of email, SMS, push, or other notifications is not guaranteed. Users are responsible for monitoring their accounts.

13. Intellectual Property

All software, source code, algorithms, interfaces, documentation, trademarks, and other intellectual property in the Service remain the exclusive property of Loadee or its licensors.

14. Feedback

Any suggestions or feedback may be used by Loadee without restriction or compensation.

15. Subscription, Billing, and Trials

Subscriptions renew automatically unless cancelled before renewal. Free trials are provided to evaluate the Service. Except where required by applicable law, all fees are non-refundable. Purchases through third-party app stores remain subject to those platforms’ terms.

16. Changes to Plans

Loadee may modify pricing, plans, features, limits, storage allocations, and functionality prospectively.

17. Third-Party Services

The Service may rely upon third-party infrastructure and providers. Loadee is not responsible for outages, interruptions, policy changes, security incidents, or failures caused by third parties.

18. Beta Features

Preview, beta, experimental, or early-access features may be modified, suspended, or discontinued at any time without notice and are provided without warranties.

19. Security

While Loadee employs commercially reasonable safeguards, no system is completely secure. Users should maintain independent backups of important business information.

20. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ‘AS IS’ AND ‘AS AVAILABLE’ WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOADEE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL. LOADEE’S AGGREGATE LIABILITY TO THE USER SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY THE USER TO LOADEE DURING ONE MONTH PRECEDING THE CLAIM.

22. Indemnification

You agree to defend, indemnify, and hold harmless Loadee, its affiliates, managers, officers, employees, contractors, and licensors from claims arising from your use of the Service, your content, your business activities, or your violation of these Terms or applicable law.

23. Suspension and Termination

Loadee may suspend or terminate access immediately for security, fraud, abuse, legal compliance, non-payment, or other legitimate business reasons.

24. Electronic Communications

You consent to receive notices, invoices, disclosures, updates, and other communications electronically.

25. Governing Law

These Terms are governed by California law, excluding conflict-of-law rules.

26. Arbitration Placeholder

Before publication, add a California-compliant mandatory arbitration provision, class-action waiver, jury trial waiver, and dispute-resolution procedure after review by legal counsel.

27. General

These Terms include force majeure, severability, survival, waiver, assignment, entire agreement, notices, and Loadee’s right to amend these Terms by posting updated versions.
